Seller Terms of Service

1. Content Ownership

By listing content on the NaviNotes Marketplace, you represent and warrant that:

• You are the original creator of the content, or you have obtained all necessary rights and permissions to sell it
• The content does not infringe on any third party's intellectual property rights, including copyrights, trademarks, or trade secrets
• You have the legal authority to distribute and sell this content

2. Prohibited Content

The following content is strictly prohibited on the NaviNotes Marketplace:

• Plagiarized content — materials copied from Quizlet, Anki, Chegg, CourseHero, or any other platform without authorization
• Copyrighted materials — textbook excerpts, instructor slides, exam questions, or publisher content you do not own
• Inappropriate content — offensive, discriminatory, or explicit material
• Misleading listings — descriptions that misrepresent the quality, completeness, or content of the materials
• Spam or fake listings — empty boards, placeholder content, or duplicate listings

3. Moderation & Enforcement

NaviNotes uses an automated moderation system to maintain marketplace quality:

• Reports: Other users may report listings that violate these terms. Each listing can be independently reviewed
• Auto-pause: If a listing receives 3 or more reports, it will be automatically paused pending review, and a strike will be issued to the seller
• Strikes: Sellers who repeatedly violate these terms will receive strikes on their account
• Suspension: If a seller accumulates 3 strikes, their account will be automatically suspended and all listings will be paused
• Appeals: Sellers may appeal strikes through their Seller Dashboard. Appeals are reviewed by the NaviNotes team

4. Payouts & Fees

• Sellers receive 80% of each sale. NaviNotes retains 20% as a platform fee
• Payouts are processed through Stripe. You must maintain a connected Stripe account in good standing
• Prices must be set between $2.99 and $49.99 USD
• Refunds requested by buyers may result in the corresponding payout being deducted from future earnings

5. DMCA Compliance

NaviNotes respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

• If you believe your copyrighted work has been listed without authorization, you may submit a DMCA Takedown Request
• DMCA agent: support@navinotes.com
• Upon receiving a valid DMCA notice, NaviNotes will promptly remove or disable access to the infringing content and notify the seller

6. Seller Responsibilities

• Keep listing descriptions accurate and up to date
• Respond to buyer inquiries in a timely manner
• Do not engage in price manipulation, review manipulation, or other deceptive practices
• Comply with all applicable laws and regulations regarding the sale of educational materials

7. Changes to These Terms

NaviNotes reserves the right to update these Seller Terms of Service at any time. Continued use of the Marketplace after changes are posted constitutes acceptance of the updated terms.
